THIS TERMS OF SERVICE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between BEEW Studio LLC, a limited liability company organized under the laws of the state of New Mexico (“BEEW Studio”), and the client, whether personally or on behalf of an entity (“Client”), regarding access and use of BEEW Studio’s website: https://beew.studio (the “Website”) and any other related media form, channel, mobile website, or application.

Failure to agree and adhere to all of the terms, conditions, and obligations contained herein results in the express prohibition of the Client’s use of the Website, and the Client is ordered to discontinue use immediately. Thereafter, the relationship between Client and BEEW Studio shall cease, except that any obligation of the Client to pay BEEW Studio for services rendered shall remain and continue as an ongoing obligation.

1. Intellectual Property Rights

Unless otherwise indicated, the Website and all source code, databases, functionality, software, website designs, text, photographs, graphics, trademarks, service marks, and logos (collectively, the “Content”) are owned and controlled by BEEW Studio LLC and are protected by copyright, trademark laws, and other applicable intellectual property regulations.

The Content and Marks are provided “as is” for informational and personal use only. No part of the Website or its Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without BEEW Studio’s prior written permission.

BEEW Studio reserves all rights in the Website, Content, and Marks.

2. Ownership of Materials

All designs, original source files, and deliverables created for the Client (“Projects”) shall belong to the Client upon full payment. BEEW Studio LLC assigns all copyrights and intellectual property rights of the final approved designs to the Client.

However, BEEW Studio reserves the right to:

• Showcase completed projects in portfolios, case studies, and promotional materials unless otherwise agreed upon in writing.

• Retain project files for internal reference and record-keeping.

The Client warrants that any and all materials provided to BEEW Studio (such as images, text, and brand assets) are owned by the Client and do not infringe upon third-party rights.

3. Third-Party Fonts & Assets

If a Project incorporates third-party fonts, stock assets, or licensed elements requiring a commercial license, the Client is responsible for purchasing the necessary licenses.

BEEW Studio will notify the Client in writing of any such assets requiring third-party licensing. Failure to obtain proper licensing is solely the Client’s responsibility.

4. Client Responsibilities

By using the Website or Services, the Client agrees to:

• Provide clear project requirements and assets before work begins.

• Ensure timely approvals and feedback to avoid delays.

• Have the legal authority to engage in this Agreement.

• Not use the Website for unauthorized or illegal purposes.

• Not misrepresent their identity or mislead BEEW Studio.

Failure to adhere to these responsibilities may result in termination of services.

5. Service Model & Subscription Plans

BEEW Studio offers design services through three primary models:

1. Monthly Design Subscription – Clients subscribe to an ongoing design service with a set number of requests.

2. Hourly Design Services – Clients pay an hourly rate for design work.

3. Project-Based Work – Clients engage in one-time design projects with customized pricing.

6. Refund & Cancellation Policy

BEEW Studio LLC does not offer refunds due to the custom and high-quality nature of design work.

However, if the Client is unsatisfied with a deliverable, BEEW Studio will continue ten more time revisions until the Client is fully satisfied.

Clients can also pause and resume their design subscription at any time, preserving any unused time for future use.

7. How Requests Are Handled

Clients submit design requests via:

• Trello or Notion task boards

• Google Docs or wireframes

• Loom video recordings (for detailed explanations)

BEEW Studio processes requests in 24-48 hours on average, with larger projects being broken into manageable deliverables.

8. Prohibited Activities

The Client agrees not to:

• Make unauthorized use of the Website or attempt to hack, disable, or exploit security features.

• Misrepresent project needs or engage in fraudulent transactions.

• Use designs created by BEEW Studio for illegal, offensive, or unethical purposes.

• Engage in unauthorized reselling or redistribution of purchased design work.

Violation of these terms may result in service termination without refund.

9. Privacy Policy & Data Protection

By using the Website, the Client agrees to the terms of BEEW Studio’s Privacy Policy, which governs data collection, storage, and protection.

BEEW Studio does not sell or share Client data with third parties except as required to provide services, such as payment processing.

10. Liability Disclaimer

BEEW Studio provides services on an "as-is" and "as-available" basis. We do not guarantee:

• That the Website or services will be uninterrupted or error-free.

• That designs will always meet unforeseen third-party compliance or restrictions, such as ad network policies.

• That design preferences will always be met in one iteration without adjustments.

BEEW Studio is not liable for any losses, damages, or claims arising from the use of our services.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico.

Any disputes shall be resolved through:

1. Negotiation: Both parties will attempt to resolve the issue informally.

2. Mediation or Arbitration: If negotiation fails, disputes will be settled through mediation in New Mexico.

3. Litigation: If necessary, legal action shall be brought in the courts of Albuquerque, NM.

12. Changes to These Terms

BEEW Studio reserves the right to modify these Terms at any time. Clients will be notified of major updates via email or website announcements.

Continued use of our services after updates implies acceptance of the revised Terms.
